The following General Terms and Conditions govern the contractual relationship between participants in continuing education events such as seminars, conferences, meetings and digital formats and WZLforum gGmbH. It also governs all contractual relationships between the company WZLforum gGmbH and its clients for all event services (full service and individual services) and other activities undertaken by WZLforum gGmbH as well as for related services (see below Addendum for clients/contractual partners).
The General Terms and Conditions are divided into three sections:
Unless otherwise agreed in writing, offers from WZLforum gGmbH are non-binding.
When booking to participate in a training event / ordering a digital product / booking an exhibition stand or sponsorship package
The contract with the client is concluded by our written confirmation of the order submitted to us or the order placed in the webshop. The client and WZLforum gGmbH are contractual partners.
Registrations for continuing education events as well as bookings of exhibition stands and sponsoring packages can be made online, by e-mail, post, fax or telephone (reservation only). The registration only becomes legally binding upon written confirmation by WZLforum gGmbH (electronically or by post) after prior registration. All legally binding registrations are subject to these General Terms and Conditions.
If the event is a face-to-face event, the following applies: The exact stand space allocation will be made by the organizer at a later date.
The allocated stand space may be adapted in front and depth to the local building regulations. The allocation of stand space is based on the chronological order of registrations. Any transfer, even partial, of the rights arising from the admission to third parties requires the written approval of the organizer. The organizer is entitled to change the location and size of a stand area, even at short notice, if this is necessary due to legal or official regulations.
Ordering digital products
Orders for digital products (video and audio content, e-learning, etc.) can be placed via the WZLforum gGmbH webshop. The order only becomes legally binding upon written confirmation by WZLforum gGmbH (electronically or by post) after prior registration. Every legally binding registration is subject to these General Terms and Conditions.
When booking for participation in a training event
Participants in scheduled training events in live format or in attendance have a right of withdrawal. The withdrawal period is 14 days and begins upon receipt of the written registration (online, e-mail, post, fax). A revocation does not require any justification. Timely dispatch of the written revocation is sufficient to meet the deadline. The right of revocation expires when the event begins in the presence of the participant. Irrespective of the right of withdrawal, participants have the right to nominate a substitute person to take part in the event in their place. Once the right of withdrawal has expired, it is generally no longer possible to withdraw from the binding registration and the full participation fee will be charged. If the withdrawal is made up to one week (7 calendar days) before the start of the event, the participation fee will be reduced to 100.00 euros.
WZLforum gGmbH reserves the right to cancel events. Participants will be informed immediately (by telephone and in writing). WZLforum gGmbH will, as far as possible, name alternative offers at other dates or locations. If participants agree to this, they will be rebooked free of charge. In the event of non-approval, participants will receive a full refund of the fees paid. Further claims are excluded.
Claims for compensation for travel and accommodation costs and loss of working hours are excluded. WZLforum gGmbH reserves the right to make changes to the organization, staffing or schedule of an event that do not have a significant impact on the overall character of the event.
When booking an exhibition stand or sponsorship package
The partner/sponsor/exhibitor may only withdraw from this contract by giving written notice of termination. If the partner/sponsor/exhibitor withdraws from the contract, it is still obliged to pay:
WZLforum gGmbH bears the economic risk of the event and therefore reserves the right to cancel the event at least 6 weeks before the planned date. Payments already made to the client will be refunded.
When purchasing a digital product
In the case of the purchase of a digital product (e-learning, video and audio files and other content for data retrieval), the right of withdrawal expires at the beginning of the execution of the contract. The buyer agrees to the waiver of revocation when placing the order. Digital products are subject to a limited usage period of 12 months from the state of the dial-in or download data. The usage period of 12 months generally applies to the purchase of digital products from WZLforum gGmbH, unless there is another written contractual agreement with the buyer. The period of use is specified prior to the conclusion of the purchase contract and confirmed by the buyer by ordering the product and agreeing to it.
When booking to participate in a training event / ordering a digital product / booking an exhibition stand or sponsorship package
The contract fee is due upon receipt of the invoice and must be paid by bank transfer without any deductions. The costs of payment transactions shall always be borne by the client. In the event of non-payment, WZLforum gGmbH reserves the right to cancel and pass on the place. In the event of late payment, WZLforum gGmbH is entitled to charge interest on arrears at a rate of 5% above the prime rate (§ 247 para. 1 BGB) per annum. The fee includes the services specified in the advance notice of the event, but regularly does not include, for example, accommodation and travel costs.
Orders placed via the WZLforum gGmbH webshop also offer the option of payment via Paypal, Stripe (credit card, giropay, Sofort Überweisung) and direct bank transfer. In the case of a transaction via Paypal or Stripe, this will be carried out automatically by the payment provider immediately after confirmation of the payment instruction. Further information can be found in the order process.
Participants will receive a certificate of attendance from WZLforum gGmbH on request. When booking continuing education formats that end with a final examination, participants automatically receive a written certificate of examination success after passing the examination.
The rental items shall only be made available for the agreed period. Shortages, breakage and damage shall be borne by the client. In the event of loss, the client must pay compensation in the amount of the purchase price. All our deliveries are subject to retention of title. Ownership shall only be transferred to the extent provided for in the contractual relationship and only after full settlement of our services owed under current contracts and payment of all our outstanding claims arising from the business relationship with the client.
Upon termination of the contractual relationship, all rooms, objects and facilities made available to the client must be returned in the condition in which they were provided to the client.
Rental of WZLforum gGmbH items
The rental items are only made available for the agreed period of time. Shortages, breakage and damage shall be borne by the client. In the event of loss, the client must pay compensation in the amount of the purchase price. All our deliveries are subject to retention of title. Ownership shall only be transferred to the extent provided for in the contractual relationship and only after full settlement of our services owed under current contracts and payment of all our outstanding claims arising from the business relationship with the client.
Upon termination of the contractual relationship, all rooms, objects and facilities made available to the client must be returned in the condition in which they were provided to the client.
The training and event documents and files (print and digital) are protected by copyright. The reproduction, distribution or other use of these documents is only permitted with the express written consent of WZLforum gGmbH.
WZLforum gGmbH owns the copyrights to video and audio recordings produced by WZLforum gGmbH or recorded in the WZLforum gGmbH studio, as well as to recordings of digital events conducted by or with WZLforum gGmbH and recorded by WZLforum gGmbH. Further agreements and possible transfers of rights of use to third parties are governed by project-related license agreements.
The events are carefully prepared and conducted by qualified authors and speakers. WZLforum gGmbH assumes no liability for the topicality, correctness and completeness of the conference documents and the organization of the event. WZLforum gGmbH shall only be liable for damage to property and financial losses for which it is responsible, irrespective of the legal grounds, to the extent that it is guilty of intent and/or gross negligence, provided that there are no mandatory statutory provisions to the contrary.
WZLforum gGmbH shall only be liable for damages incurred during an event, except in cases of intent and gross negligence, in the event of a breach of material contractual obligations, the breach of which could jeopardize the purpose of the contract as a whole. Any compensation for damages shall be limited to the amount covered by WZLforum gGmbH’s public liability insurance. WZLforum gGmbH shall not be liable for such damages – especially in the case of outdoor events – that are caused by extraordinary natural events, force majeure or terror.
If an event requires special safety precautions or if the circumstances (event location, individual program items) necessitate the conclusion of insurance policies, WZLforum gGmbH shall be entitled to conclude corresponding agreements in the name and for the account of the client. Any exhibition, conference or other items brought into the event rooms shall be at the risk of the client, unless the lessor is liable to pay compensation. For this reason, WZLforum gGmbH does not assume any obligation to guard or store such items, in particular not even after the end of an event. The client shall be solely responsible for insuring any items brought onto the premises.
WZLforum gGmbH treats personal data confidentially and will only use it in accordance with data protection regulations. Personal data will be stored and used for organizational purposes of WZLforum gGmbH and for future information about offers of WZLforum gGmbH. Every participant has the right to revoke his/her consent to the storage and use of his/her data and to object to the future unsolicited sending of information material.
These General Terms and Conditions and the entire legal relationship between the contracting parties are subject to the law of the Federal Republic of Germany. Amendments and/or additions to these agreements must be made in writing, which cannot be waived verbally. Verbal collateral agreements have not been made. Should individual provisions of these General Terms and Conditions be or become invalid or void or should there be a loophole, the remaining provisions shall remain unaffected. The contracting parties undertake to replace the invalid or void provisions with a permissible provision that comes closest to the economic purpose of the intended provision. This also applies to the filling of a gap in the contract.

The contract with the client is concluded by mutual signing of the order contract or alternatively by written confirmation from the client of the offer received from WZLforum gGmbH.
Drawing up contracts / contracts with third parties
Contracts with third parties that are agreed upon and required for the implementation of an event or the creation of a digital product shall be concluded by WZLforum gGmbH on behalf of and in the name of the client, for which WZLforum gGmbH is authorized within the scope of the concluded contract. At the request of WZLforum gGmbH, the client shall provide WZLforum gGmbH with a corresponding written power of attorney. Any deviating regulations must be made in writing. The client warrants that the event to be organized by WZLforum gGmbH does not infringe the rights of third parties, in particular that it does not violate legal regulations of any kind whatsoever.
Revocation/withdrawal
Clients/contractual partners for the purpose of event organization or partial services as well as rental parties of event spaces are entitled to a right of revocation. The revocation period is 14 days and begins upon receipt of the written registration (online, e-mail, post, fax). A revocation does not require any justification. Timely dispatch of the written revocation is sufficient to meet the deadline.
WZLforum gGmbH is entitled to withdraw from the contract if circumstances for which WZLforum gGmbH is not responsible make it impossible to fulfill the contract. The same applies if events and premises have been booked with false information about essential facts, e.g. the purpose of the event, in particular if, contrary to the assurance given, the rights of third parties are impaired by the execution of the event or if legal regulations are violated.
WZLforum gGmbH is also entitled to withdraw from the contract if the prerequisites or information required for the fulfillment of the contract have not been provided correctly, completely or on time by the client within the agreed time and project plan, and thus the proper and/or timely provision of services by WZLforum gGmbH is made impossible. In these cases, the regulations agreed upon for the cancellation apply to the amount of the cancellation costs as well as to the costs of third parties. WZLforum gGmbH expressly reserves the right to assert further claims for damages.
The client shall be granted the right to cancel the order or the room booking – in whole or in part. Cancellation must be made in writing. WZLforum gGmbH shall be entitled to demand reasonable compensation after the cancellation has been made. Unless otherwise agreed in writing, the amount of the cancellation costs shall be calculated as follows:
Expenses already incurred at the time of cancellation by the client due to the order that exceed the percentage scale shall be borne by the client in addition. This also includes all costs incurred by third parties, e.g. due to material and catering orders already placed and other costs.
If a minimum number of participants is agreed between WZLforum gGmbH and the client for participant registration, WZLforum gGmbH reserves the right to charge the agreed minimum number of participants if this number is not reached.
If the client, without consultation with WZLforum gGmbH, changes relevant conditions of the order that affect the organizational or administrative effort at WZLforum gGmbH (e.g. change of the event location, date, time, the course of participant handling, the time deadlines and areas of responsibility specified in the time and project plan, the budget framework), WZLforum gGmbH is entitled to invoice the additional costs incurred by it in accordance with the fee amounts agreed for the event.
Payments
Invoices issued by WZLforum gGmbH are payable in full within 14 days of receipt of the invoice. In the event of late payment by the client, WZLforum gGmbH shall be entitled to charge interest on arrears in accordance with the statutory provisions. In the event of late payment, WZLforum gGmbH is entitled to charge interest on arrears at a rate of 5% above the base interest rate (§ 247 para. 1 BGB) p.a..
WZLforum gGmbH is entitled to demand an appropriate advance payment on the expected invoice amount at any time. Advance payments made will be offset against the final invoice. If the advance payment amount calculated by WZLforum gGmbH is not paid within the agreed period, WZLforum gGmbH is entitled to withdraw from the agreements made with the client. In this case, WZLforum gGmbH may claim cancellation costs in accordance with these GTC.

Copyrights
The training and event documents and files (print and digital) are protected by copyright. The reproduction, distribution or other use of these documents is only permitted with the express written consent of WZLforum gGmbH.

The client shall be liable for any damage, loss or infringement of third-party rights caused by him, his guests, his employees, vicarious agents or other third parties commissioned by him during the preparation and execution of the order. The client shall be responsible for arranging appropriate insurance cover at his own expense.
Storage and use of data
WZLforum gGmbH treats personal data confidentially and will only use it in accordance with data protection regulations. Personal data will be stored and used for organizational purposes of WZLforum gGmbH and for future information about offers of WZLforum gGmbH. Every participant has the right to revoke his/her consent to the storage and use of his/her data and to object to the future unsolicited sending of information material.

In the case of registration in the Alumni Club, the right of revocation expires when the access authorization to the platform is sent. The buyer agrees to the waiver of revocation by placing an order. A claim for repayment of the annual fee is excluded.
